Affiliate Program Terms
These Affiliate Program Terms (the “Affiliate Terms”) are an agreement between Trey.Coach LLC, operator of CoachPrep (“CoachPrep,” “we,” or “us”), and the company identified in the affiliate application (“Partner”). The person accepting these Affiliate Terms represents that they have authority to bind Partner.
1. Application and approval
Participation is by application and is not effective until CoachPrep approves and activates Partner. Partner must provide accurate company, contact, tax, promotion, and payout information and keep it current. CoachPrep may approve, reject, pause, or end participation in its reasonable discretion. One CoachPrep account may not impersonate or apply on behalf of another business.
2. Referral code and permitted use
Partner may request an available referral code containing 3–32 lowercase letters, numbers, or hyphens. CoachPrep may reject confusing, infringing, misleading, obscene, or reserved codes. Once an application is created, its code is permanent so existing links remain reliable. Partner receives a limited, revocable, nonexclusive right to use the approved link and CoachPrep-provided brand materials solely to promote CoachPrep under these Affiliate Terms. No ownership rights transfer.
3. Attribution
A valid referral-link visit starts the click-to-signup window shown in Partner’s dashboard, normally 30 days. CoachPrep stores a first-party browser marker containing a partner code, random click identifier, and expiration. Before signup, a newer valid referral link replaces the browser marker. When a visitor creates a verified account within that window, the first valid signup attribution accepted by CoachPrep is locked to that account for 12 months from signup and cannot be overwritten by a later partner. Eligible purchases and upgrades completed during those 12 months are credited without requiring the customer to use the link again. This is not lifetime attribution; purchases after the 12-month account window do not earn commission. Browser attribution may be unavailable when a visitor clears storage, uses private browsing, blocks required storage, changes browser or device before signup, or when a link is expired, invalid, or inactive. CoachPrep will not use device fingerprinting to defeat those choices. CoachPrep’s good-faith records control attribution and commission calculations.
4. Commission
Unless CoachPrep agrees otherwise in writing, Partner earns 20% of the eligible amount actually paid for an attributed, eligible CoachPrep Exam Pass purchase after discounts. Taxes, gratuities, processor fees shown separately to a customer, credits, refunds, reversals, chargebacks, disputed or fraudulent transactions, test transactions, duplicate purchases, self-referrals, and products or services that CoachPrep designates as excluded do not earn commission. CoachPrep may correct errors and withhold activity reasonably suspected to be fraudulent, manipulated, or noncompliant while it investigates.
5. Maturity and monthly release
Commission remains pending through the applicable 7-day CoachPrep refund window and must be at least 7 days old. Eligible prior-month balances are scheduled for release on the 7th of each month. A minimum payable balance of US $25 (or its transfer-currency equivalent determined by CoachPrep or Stripe) applies; smaller balances carry forward. A release date is the date CoachPrep initiates a Stripe transfer, not a promise that Partner’s bank will make funds available that day. Weekends, holidays, verification reviews, reserves, sanctions screening, banking networks, and Stripe processing may delay availability.
6. Refunds, disputes, and offsets
A refund, credit, chargeback, reversal, fraud loss, or calculation correction reduces the related commission. Before transfer, CoachPrep may reduce or void pending commission. After transfer, Partner authorizes CoachPrep to reverse the related Stripe transfer where available, offset the amount against future commission, request repayment, or use a combination of those remedies. Partner remains responsible for an amount not recovered through an offset or reversal.
7. Stripe Connect and taxes
Partner must complete Stripe-hosted onboarding, maintain an eligible company connected account, satisfy identity and business verification, provide accurate bank and tax information, and comply with the Stripe Connected Account Agreement and Stripe Privacy Policy. Stripe may collect information directly from Partner. CoachPrep does not control Stripe’s verification or bank timing. Partner is responsible for taxes, filings, registrations, and records relating to commission it receives. CoachPrep may withhold payout when legally required or when Stripe cannot transfer funds.
8. Required disclosure and truthful promotion
Every endorsement must be honest and reflect Partner’s genuine experience. Partner must clearly and conspicuously disclose its financial relationship with CoachPrep near each affiliate link or recommendation, using plain language a reasonable viewer will notice and understand. A profile bio, terms page, or vague label such as “partner link” alone may not be sufficient. Partner must follow applicable advertising, endorsement, consumer-protection, privacy, anti-spam, and electronic-message laws and platform rules.
9. Prohibited conduct
- Self-referrals, coordinated purchases intended to manufacture commission, fake identities, bots, click farms, automated traffic, cookie stuffing, hidden pixels, forced redirects, or overwriting another partner’s attribution without a genuine user choice.
- False, misleading, unsubstantiated, or guaranteed claims about exam results, credentials, discounts, product features, earnings, or CoachPrep’s relationship with ICF.
- Unsolicited bulk email or messages, purchased contact lists, or communications that violate consent, sender-identification, unsubscribe, or other legal requirements.
- Bidding on CoachPrep or Trey.Coach trademarks as paid-search keywords, using confusing domains or social handles, impersonating CoachPrep, or presenting Partner as CoachPrep’s employee, agent, or exclusive representative without written permission.
- Posting a code to coupon, discount, cashback, or incentive sites; offering rebates, rewards, or other incentives; or using paid advertising that links directly to CoachPrep without prior written approval.
- Copying, scraping, redistributing, or selling CoachPrep study content, question banks, customer information, or nonpublic program information.
10. Customer privacy and confidentiality
Partner receives aggregate clicks and signups and anonymized order and commission records. Partner has no right to a referred customer’s identity or CoachPrep account data. Partner must not try to re-identify dashboard records. Nonpublic payout, fraud, customer, security, and program information is confidential and may be used only to participate in the program. Partner must maintain reasonable account security and promptly report suspected compromise.
11. Independent contractor
Partner is an independent contractor. These Affiliate Terms do not create employment, agency, franchise, fiduciary, joint-venture, or partnership relationships. Partner cannot bind CoachPrep or make commitments on CoachPrep’s behalf. Partner bears its own costs and controls how it performs permitted promotion, subject to these Affiliate Terms.
12. Monitoring, suspension, and termination
CoachPrep may review traffic and promotion for compliance. Either party may end participation at any time by written notice. CoachPrep may immediately pause links, withhold disputed amounts, or terminate for suspected fraud, prohibited conduct, legal or platform risk, inaccurate information, brand harm, or breach. Properly earned, undisputed commission that matured before termination remains payable subject to the minimum, offsets, verification, and law. No commission accrues from activity after deactivation.
13. Disclaimers and limitation
The program, dashboard, links, and tracking are provided “as is” and “as available.” CoachPrep does not promise uninterrupted tracking, any traffic, conversion, revenue, or continued program availability. To the fullest extent permitted by law, CoachPrep disclaims implied warranties and will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages. CoachPrep’s aggregate liability arising from the program will not exceed commission paid or payable to Partner during the six months before the event giving rise to the claim. These limits do not apply where prohibited by law.
14. Indemnity
Partner will defend, indemnify, and hold harmless CoachPrep, Trey.Coach LLC, and their personnel from third-party claims, losses, penalties, and reasonable costs arising from Partner’s promotion, legal violations, breach of these Affiliate Terms, misleading statements, infringement, or misuse of personal information, except to the extent caused by CoachPrep’s own misconduct.
15. Changes
CoachPrep may update these Affiliate Terms. Material changes require Partner to accept the new version before links or payouts continue. Changes do not retroactively reduce commission that already matured, except where necessary to correct error, fraud, refunds, disputes, or comply with law.
16. General
These Affiliate Terms, the application, and any written commission addendum are the complete agreement about the program and control over conflicting general site terms for affiliate matters. Partner may not assign participation without CoachPrep’s written consent. If a provision is unenforceable, the remainder stays effective. Failure to enforce a provision is not a waiver. Electronic acceptance and records are valid counterparts. Colorado law governs without regard to conflict-of-law rules, and the state and federal courts serving El Paso County, Colorado have exclusive venue, except where applicable law does not allow that choice.
