Organization Access Terms
These Organization Access Terms govern a company, school, training provider, or other organization that authorizes CoachPrep access for its learners through the organization dashboard or roster API. They supplement CoachPrep's general Terms and the organization's separate order form or written pricing agreement.
1. Authority and acceptance
The person accepting these terms represents that they are authorized to bind the named organization and administer its sponsored learners. If that authority ends, the organization must promptly remove the administrator's access and notify CoachPrep.
2. Sponsored access
Each activation grants the named learner a personal, non-transferable CoachPrep entitlement for the plan and access period shown in the organization dashboard. The standard sponsored term is 183 days unless the written agreement says otherwise. Adding the same active learner twice does not create overlapping sponsored access. A renewal extends the learner's sponsored expiration by another agreed term.
The organization may revoke only the access it sponsored. Revocation does not delete the learner's CoachPrep account, study progress, records subject to the Privacy Policy, or access purchased separately by the learner. A learner may purchase personal access under CoachPrep's ordinary checkout terms, including after sponsorship ends. CoachPrep does not automatically charge a learner when sponsored access expires.
3. Fees and monthly invoices
Creating a new activation, reactivating expired or revoked sponsorship, or renewing a sponsored term creates a billable event at the unit price in the organization's agreement. CoachPrep groups uninvoiced events into monthly Stripe invoices. Payment is due within the number of days shown on the invoice. Taxes, if applicable, may be added when required by law and properly configured.
Revocation does not automatically cancel or credit an activation already made. Any refund, credit, minimum commitment, volume tier, or special billing rule must appear in a written agreement or credit issued by CoachPrep. The organization must dispute an invoice in writing within 15 days of receipt and pay undisputed amounts when due.
4. Authorized roster information
The organization may submit only the learner name and email reasonably needed to create an account and deliver access. The organization represents that it has a lawful basis and all notices, permissions, or consents needed to provide that information and direct CoachPrep to send an account invitation. Do not submit sensitive student records, disability information, payment data, coaching-client information, or educational performance records through roster fields or API requests.
The organization dashboard reports account invitation status, sponsored-access status, expiration, billable events, and invoice status. It does not provide the learner's private answers, journals, recordings, coaching content, or individual study performance. Additional data sharing requires a separate written agreement and privacy review.
5. Accounts and API security
The organization is responsible for its administrators, internal authorization controls, and all activity using its API credential. API keys must be stored in a secure secret manager, used only over HTTPS, and never placed in browser code, email, spreadsheets, public repositories, or shared chat. The organization must rotate a key immediately if it may have been exposed and notify CoachPrep of suspected unauthorized use.
Each create and renewal request must use a unique idempotency key. The organization must use the API only for its own authorized roster, apply reasonable rate limits, and not probe, scrape, disrupt, reverse engineer, resell, or bypass CoachPrep access controls.
6. Learner use and intellectual property
Learners remain subject to CoachPrep's general Terms and Privacy Policy. Sponsorship does not transfer ownership of CoachPrep content or permit an organization to copy, publish, redistribute, sublicense, or build competing materials from question banks, study tools, or other protected content.
7. Service changes, suspension, and termination
CoachPrep may suspend organization administration or API access for nonpayment, a security incident, unlawful use, material breach, or conduct that risks learners or the service. Where practical, CoachPrep will provide notice and an opportunity to cure. Either party may end future use under its written agreement, but accrued payment obligations and provisions that should reasonably survive will continue.
8. Confidentiality and privacy
Each party will use reasonable care to protect the other party's non-public business information. CoachPrep processes roster and account information as described in the Privacy Policy and uses service providers, including AWS, Cognito, email delivery providers, and Stripe, to operate authentication, access, billing, and communications. These terms do not by themselves make CoachPrep a school official or create a FERPA, data-processing, or similar regulated-data agreement; contact CoachPrep before onboarding learners if a separate agreement is required.
9. Disclaimers and limitation
CoachPrep is an independent educational resource and does not guarantee an exam result, credential decision, learner completion, or professional outcome. The general Terms' disclaimers and limitations apply to organization-sponsored use to the fullest extent permitted by law.
10. Governing terms and changes
If these terms conflict with a signed order form or written organization agreement, that signed document controls for the conflict. These terms are governed by Colorado law, without regard to conflict-of-law principles. CoachPrep may update them prospectively; a current material update must be accepted before new roster activations, renewals, or API-key changes can continue.
